15. Use of Artificial Intelligence

Ozola Advisory may use artificial intelligence systems, machine learning models, automated analytical tools, and similar technologies (“AI Systems”) in connection with the Site and, where applicable, in the delivery of certain Services.

Nature of AI Systems

AI Systems may be used to assist with research, drafting, summarization, analysis, workflow automation, data organization, or internal efficiency. AI Systems operate using probabilistic methods and may generate outputs that vary in accuracy, completeness, tone, or reliability.

AI-generated or AI-assisted materials (“AI Output”) are tools intended to support human review and professional judgment. AI Systems do not replace professional analysis or decision-making.

Client Responsibility for Review and Implementation

You are solely responsible for:

  • Reviewing and evaluating any AI-assisted content before relying on it;
  • Determining whether AI Output is appropriate for your organization’s circumstances;
  • Ensuring that policies, employment practices, or compliance decisions based on AI Output are independently validated where necessary.

Ozola Advisory does not independently verify every factual, legal, or regulatory statement generated by AI Systems unless expressly agreed in writing.

Regulatory and Ethical Considerations

Laws governing artificial intelligence, automated decision-making, employment practices, and data processing continue to evolve. You acknowledge that:

  • The regulatory status of certain AI technologies may change;
  • Use of AI-assisted materials may implicate employment, discrimination, privacy, or bias-related considerations;
  • You are responsible for ensuring that your organization’s use of any AI-assisted work product complies with applicable law.

No Automated Decision-Making on Behalf of Clients

Unless expressly agreed in a written Engagement Agreement, Ozola Advisory does not use AI Systems to make final employment, hiring, termination, compensation, or other workforce decisions on behalf of clients. AI Systems are used as support tools only.

AI System Providers

Certain AI Systems may be provided by third-party vendors. Ozola Advisory selects vendors in its discretion and may change providers from time to time. The internal functioning, training methodologies, and model architecture of third-party AI Systems are outside of Ozola Advisory’s control.

Data Submitted to AI Systems

You agree not to submit confidential or sensitive information through publicly available AI interfaces unless authorized under a written Engagement Agreement. Where AI Systems are used in connection with client engagements, such use will be subject to applicable contractual confidentiality and data protection obligations.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL OZOLA ADVISORY OR ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OZOLA ADVISORY'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) US $100 OR (B) THE AMOUNTS PAID BY YOU TO OZOLA ADVISORY FOR SERVICES IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THIS LIMITATION DOES NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

Some jurisdictions do not allow certain warranty disclaimers or limitations of liability, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

17. Indemnification

You agree to indemnify, defend, and hold harmless Ozola Advisory and its members, managers, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • your access to or use of the Site;
  • your violation of these Terms; or
  • your violation of any rights of a third party, including intellectual property, privacy, or other proprietary rights.

18. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms or if we otherwise determine it is necessary to protect the Site, our business, or others. Sections that by their nature should survive termination (including Sections 9 through 21) will survive.

19. Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles, except that the arbitration agreement in Section 20 is governed by the Federal Arbitration Act.  Except where prohibited by applicable law and subject to Section 20 (Dispute Resolution; Mandatory Arbitration; Class Action Waiver), any action or proceeding permitted to be brought in court, including an action to compel arbitration, confirm, enforce, modify, or vacate an arbitration award, or pursue an Excluded Claim, shall be brought exclusively in the state or federal courts located in New York County, New York, and each party consents to personal jurisdiction and venue in those courts.

20. Dispute Resolution; Mandatory Arbitration; Class Action Waiver

Informal Resolution. Before initiating any arbitration or other legal proceeding, you agree to first contact Ozola Advisory at sandra@ozolaadvisory.com and provide a written description of the dispute, including your name, contact information, the nature of the dispute, and the relief requested. Ozola Advisory and you agree to attempt in good faith to resolve the dispute informally for at least thirty (30) days after such notice is received. If the dispute is not resolved within that period, either party may commence arbitration as set forth below.

Agreement to Arbitrate. Except for the “Excluded Claims” described below, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, the Content, any communications through or relating to the Site, or your access to or use of the Site, including any dispute concerning the breach, enforcement, interpretation, applicability, validity, scope, formation, or enforceability of these Terms or this arbitration agreement, shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (“AAA”).

Rules; Arbitrator; Seat. The arbitration shall be administered by AAA in accordance with its Commercial Arbitration Rules then in effect, except that if AAA determines that its Consumer Arbitration Rules and Mediation Procedures are required to apply to a particular dispute, those rules shall apply to that dispute. The arbitration shall be conducted before a single neutral arbitrator. The seat and place of arbitration shall be New York County, New York, unless the parties agree otherwise or the arbitrator determines that a remote, telephonic, or documents-only proceeding is appropriate under the applicable rules. The arbitration shall be conducted in English.

Federal Arbitration Act. This arbitration agreement evidences a transaction involving interstate commerce and shall be governed by and interpreted under the Federal Arbitration Act, 9 U.S.C. § 1 et seq. To the extent state law applies, the law identified in the “Governing Law” section of these Terms shall apply, without regard to conflict-of-laws principles.

Authority of Arbitrator. The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, formation, or validity of this arbitration agreement or these Terms, including any claim that all or part of this arbitration agreement or these Terms is void or voidable, except that any dispute concerning the validity or enforceability of the class action waiver below shall be decided by a court of competent jurisdiction and not by the arbitrator.

Class Action Waiver. YOU AND OZOLA ADVISORY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of class, collective, consolidated, private attorney general, or representative proceeding, except to the extent this limitation is prohibited by applicable law.

Excluded Claims. Notwithstanding the foregoing, either party may bring an action in a court of competent jurisdiction for: (a) claims that qualify for small claims court; (b) claims seeking temporary, preliminary, or permanent injunctive or other equitable relief relating to actual or threatened infringement, misappropriation, or misuse of intellectual property, confidential information, data, or the Site; (c) claims relating to unauthorized access to or interference with the Site; or (d) any claim that may not lawfully be required to be arbitrated.

Relief; Award. The arbitrator may award any relief that would be available in court on an individual basis, subject to the limitations and exclusions in these Terms. The arbitrator’s award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Fees and Costs. The parties shall bear arbitration fees and costs as provided by the applicable AAA rules. Each party shall bear its own attorneys’ fees and costs unless an award of attorneys’ fees or costs is authorized by applicable law, the applicable AAA rules, or another provision of these Terms.

Jury Trial Waiver. TO THE EXTENT ANY DISPUTE IS PERMITTED TO PROCEED IN COURT RATHER THAN ARBITRATION, YOU AND OZOLA ADVISORY EACH WAIVE ANY RIGHT TO A JURY TRIAL.

21. Miscellaneous

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Entire Agreement. These Terms and any documents expressly incorporated by reference constitute the entire agreement between you and Ozola Advisory regarding your use of the Site.
